Alpha Bank’s complex demerger successfully completed

Koutalidis Law Firm advised Alpha Bank on its demerger by way of hive-down of its banking sector to a new banking entity. The demerger was completed on April  16th, 2021 and constitutes an integral part of Alpha Bank’s Strategic Plan 2020-2022, aiming at the improvement of its financial structure through the reduction of its non-performing exposures and cost of risk, as well as through the transfer of its banking business sector to an entity with substantially improved asset quality.

Koutalidis Law Firm assisted Alpha Bank both at the level of strategic planning as well as in all legal matters related to the implementation and completion of the demerger and the transformation of the existing entity into a financial holding company. The complexity of the project derives primarily from its interdependencies with the other pillars of the Bank’s Strategic Plan, as well as from the broad range of practice areas relevant to the demerger ranging from corporate, regulatory and capital markets, as well as banking & finance, to tax, real estate and bancassurance.
