Koutalidis Law Firm is pleased to have advised Alpha Bank Group on the successful completion of a landmark reorganization of Alpha Leasing Single Member Société Anonyme, a member of the Alpha Bank Group.
The transaction involved a highly structured, multi‑layered common demerger and dissolution of Alpha Leasing, approved by the General Commercial Registry on 23 January 2026, encompassing the segregation of performing and non‑performing leasing portfolios and the establishment of a newly licensed leasing company within the Alpha Bank Group.
In the context of the reorganization, a selected perimeter of mainly non‑performing financial leases, along with the related real estate interests, with a Gross Book Value of approximately Euro 0.24 billion (the “Andros Portfolio”), was transferred to Hellas Capital Leasing S.A., a Greek leasing company wholly owned by funds managed or advised by Bain Capital, followed by the subsequent sale and transfer of the temporary shareholding interest by Alpha Leasing’s sole shareholder, entailing complex structuring and the alignment of corporate, regulatory, real estate and financial leasing considerations.
The transaction forms part of Alpha Bank Group’s broader strategic transformation initiatives, aimed at strengthening its positioning in the financial leasing and corporate banking sectors and further enhancing its integrated corporate solutions platform.
