Koutalidis Law Firm is pleased to have advised adapa group in the multi-jurisdictional restructuring and refinancing of the adapa Group.
Adapa group is a leading European supplier of flexible packaging, with approximately 2000 employees and 20 locations.
The transaction included the issuance of a Greek law bond loan by adapa Greece Komotini S.A. (adapa Greece), with Optima bank acting as bondholder and bondholder agent, and a wider group restructuring, where Koutalidis Law Firm advised adapa Greece as guarantor. In this context, the shareholding of adapa Greece was restructured through the company’s acquisition of its own shares.
Koutalidis Law Firm advised in all the stages of the deal, including the acquisition of the shares (M&A team), the issuance of the Bond Loan and the provision of the guarantee to English law facility agreements (Banking & Finance Team).
